With regards to the Shareholders’ Meeting of TERNA S.p.A. (“TERNA” or the “Company”), called for 27 May 2014, in single call, to resolve also on the appointment of the Board of Statutory Auditors, Cassa depositi e prestiti S.p.A. (“CDP”) - shareholder of Terna with 599,999,999 ordinary shares, equal to 29.851% of the share capital – submits and files the following list of candidates as members of the Board of Directors of the Company:

Together with the above-mentioned list, are enclosed the following documents: - certification stating the participation of CDP to the central securities depository and the ownership, as of the date of the filing of the list, of the number of the shares of Terna foreseen for the filing of the list; - the declarations through which the candidates accept the candidature and attest, under their own responsibility, the inexistence of the ineligibility and incompatibility causes, as well as the existence of the prescribed requirements by the applicable regulations and the Corporate Bylaws; - curriculum vitae and copy of an identity document of each candidate.

With regards to the remuneration of the standing auditors of the Board of Statutory Auditors, CDP will submit to the agenda of the shareholders' meeting above-mentioned, the proposal of determinate the gross annual remuneration payable to the standing auditors at euro 55,000 for the Chairman of the Board of Statutory Auditors and at euro 45,000 for the other standing auditors, plus the reimbursement of expenses incurred.
